Harlee Sorkin will walk through a sample term sheet to identify some common terms seen when funding a business.  He will then present a sample capitalization table to demonstrate the effects of these terms and resulting dilution over the course of several rounds of funding for a business.

Harlee has helped researchers commercialize their chemical, life science & biomedical engineering technologies since 2001.  He founded Mentor Management, LLC to provide management consulting services, and he is Managing Director of Common Place Holdings, LLC, an early-stage medical technologies fund.  In these roles, he is engaged in venture formation, capitalization and technology licensing.

Harlee regularly works in entrepreneur education programs.  He currently instructs the University of Illinois NSF I-Corps Sites program and previously served as an EIR at EnterpriseWorks.  He is an Advisor to Skandalaris Center at Washington University in St. Louis and is the founding director of the Bio Entrepreneur Development Program at the Cortex Innovation Community.

Prior to his current efforts, Harlee spent seven years with Traco Labs, Inc., a supplier of active ingredients to the pharma & nutraceutical industries. At Traco, Harlee capitalized the growth of the business and oversaw a successful exit to Munich, Germany-based Degussa AG.
